Change the Company Name

The name of a company is its identity. The name is mentioned in name clause of the Memorandum of the Association. The company may change its name in accordance with Section 13 of the Companies Act, 2013. The company may adopt any suitable name provided the same is not undesirable. 

The name of the company can be changed by passing special resolution by the members of the company in their General Meeting and with the approval of Central Government. Also, it takes only 15-20 days to register change the company name and the entire registration process is online based.  

Change in the name of the company involves alteration of MOA and AOA. The RoC on receipt of name change application (Form INC-24) shall enter the new name in the Register of Companies in place of old name and issue fresh certificate of incorporation (Form INC-25) in new name.

As per Section 4(2) of the Companies Act ,2013, the name of a company shall not be  

1. Identical or resemble too nearly to the name of an existing company registered or

2. Undesirable in the opinion of the Central Government

Changing the company name : Most Common Reasons

1. Brand Repositioning

A company may want to change the name to a particular brand name and reposition itself in the market. 

2. Conflict with Trademark

The company may want to avoid a name resembling to an already trademarked name to avoid disputes. 

3. Voluntary change of name 

The company may change its name in the normal course of business without assigning any reason and the same is also considered legal and valid. 

4. Ownership Change

Sometime , It happens such that the new owners of the company would want to change the name of the company according to their requirements 

5. Rectification of the Name

The company name may require rectification, if through inadvertence or otherwise, the existing company name is identical or too nearly resembling to an already registered company name. 

Restriction on change of Name 

A company shall not be allowed to change the name, if it has defaulted on the following

a.It has not filed annual returns or financial statement due for filing with the Registrar of Companies

b.It has failed to pay or repay matured deposits or debentures or interest thereon

Memorandum of Association

Memorandum of Association is the Charter/Constitution of the company. It defines the objects of the company both primary objects and incidental objects for which the company is formed. It also includes details related to Capital, Name, Registered office, Authorised capital, Liability clause. The shareholders approve and sign the MOA on Incorporation which is called subscribing to MOA.

Articles of Association

Articles of Association are bye laws of the company that govern the internal management and conduct of the business of the company. AOA is part of the MOA and is governed by the MOA of the company. It regulates the relationship between the company and its shareholders, as well as between the shareholders itself.

FAQs on Change in the Name of Company

The general time taken to completed the name change process is around 15-20 days on receipt of all documents. This is subject to time taken by ROC to process the applications.

The name of a company can be changed anytime during the life time of the company. Only thing is the before making an application for name change of a company, the company should have filed all it’s annual returns and financial statements with Registrar of Companies and should not have any outstanding payments related to deposits or debentures including interest payments.

The name can be of any choice. It should not be undesirable in the opinion of Central government. Also, it should be in accordance with Rule 8 of Companies (Incorporation) Rules ,2014

It is suggested to change the name of the company or take an NOC ( No objection certificate) from the existing company or the owner of the trademark to be free from litigation.
